Terms of Service
The terms that govern your use of the Cowell & Co. website and client portal. The services themselves are governed by a separate engagement agreement.
This is template language prepared by DBJ Technologies. An operating firm should have its own terms of service reviewed by counsel and adapted to its actual practices before publishing.

1. Acceptance of these terms
These Terms of Service govern your access to and use of the Cowell & Co. website at cowellco.com and the firm's client portal. By using the website, you agree to these terms. If you do not agree, please do not use the website.
2. The website is informational
The website describes the services Cowell & Co. offers and provides general information and interactive tools. It is a starting point for a conversation with the firm, not the delivery of professional services.
3. No professional advice, no client relationship
Information on the website, including the tax calculators and any articles or examples, is general in nature and is not accounting, tax, or legal advice. The calculators produce estimates from the figures you enter and do not account for the full circumstances of your situation. You should not act on anything on the website without advice specific to your facts.
Using the website, submitting the contact form, or scheduling a call does not by itself create a CPA-client relationship. A relationship is formed only when Cowell & Co. and the client both sign a written engagement agreement.
4. The engagement agreement governs services
Any accounting, tax, bookkeeping, or advisory services that Cowell & Co. provides are governed by a separate written engagement letter that defines the scope of the work, the fees, the responsibilities of each party, and the terms specific to that engagement. If anything in these Terms conflicts with a signed engagement letter, the engagement letter controls for the services it covers.
5. Client portal
Access to the client portal is provided to current clients of the firm. You are responsible for keeping your login credentials confidential and for activity that occurs under your account. Notify the firm promptly if you believe your account has been accessed without authorization. The firm may suspend or limit portal access where it is needed to protect the security of client information.
6. Acceptable use
You agree to use the website and the client portal only for lawful purposes. You agree not to attempt to gain unauthorized access to any system or account, disrupt or interfere with the website, upload malicious code, or use the website in a way that infringes the rights of others or violates any law.
7. Intellectual property
The website, including its text, design, graphics, logo, and arrangement, is the property of Cowell & Co. or its licensors and is protected by intellectual property law. You may view and print pages from the website for your own reference. You may not copy, republish, distribute, or use the content for commercial purposes without the firm's written permission.
8. Third-party links
The website may link to third-party websites for convenience. Cowell & Co. does not control those websites and is not responsible for their content, accuracy, or privacy practices. Following a third-party link is at your own discretion.
9. Disclaimer of warranties
The website is provided on an "as is" and "as available" basis. Cowell & Co. does not warrant that the website will be uninterrupted, timely, secure, or free of errors or harmful components, and it makes no warranty as to the accuracy or completeness of the general information on the site. Nothing in this section limits any warranty or duty owed under a signed engagement agreement, or any right that cannot be waived under Texas law.
10. Limitation of liability
To the fullest extent permitted by law, Cowell & Co. will not be liable for any indirect, incidental, special, or consequential damages arising from your use of, or inability to use, the website. This limitation applies to the website only. The firm's responsibility in connection with professional services is addressed in the applicable engagement agreement and is not limited by this section.
11. Indemnification
You agree to be responsible for, and to hold Cowell & Co. harmless from, claims and costs arising from your misuse of the website or your violation of these Terms.
12. Governing law and venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute relating to the website or to these Terms will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts.
13. Changes to these terms
Cowell & Co. may update these Terms from time to time. The current version is always posted on this page with its effective date. Your continued use of the website after a change takes effect means you accept the updated Terms.
